1. Agreement to Terms

These Terms of Service ("Terms") govern your use of FreezeSub ("the Service"), operated by FreezeSub ("we", "us", "our"). By installing FreezeSub from the Stripe App Marketplace or using any part of the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

FreezeSub is a Stripe App that intercepts cancellation intent from subscribers and presents them with a configurable "pause" offer as an alternative to cancellation. The Service:

  • Integrates with Stripe's subscription management system
  • Presents a customizable pause offer to subscribers attempting to cancel
  • Manages the pause and automatic resume lifecycle within Stripe
  • Provides analytics on saves, pause rates, and retained revenue

3. Eligibility

To use FreezeSub, you must:

  • Have an active Stripe account in good standing
  • Be 18 years of age or older
  • Have the legal authority to enter into these Terms
  • Comply with all applicable laws and Stripe's own terms of service

4. Pricing and Billing

4.1 Free Tier

The Free tier allows up to 10 successful pauses per calendar month at no charge. A "successful pause" is defined as a subscriber accepting a pause offer instead of completing a cancellation.

4.2 Pro Tier

The Pro tier charges $5.00 USD per successful pause beyond the free tier limit, capped at $99.00 USD per calendar month. After the monthly cap is reached, additional pauses in that month incur no additional charge.

4.3 Billing

Billing is processed through Stripe. Monthly charges are assessed at the end of each calendar month. You authorize FreezeSub to charge your Stripe account for applicable fees. All fees are non-refundable except where required by law.

4.4 Price Changes

We reserve the right to change pricing with 30 days' advance notice. Notice will be provided via email and/or within the Stripe Dashboard.

5. Acceptable Use

You agree not to use the Service to:

  • Deceive or mislead subscribers about the nature of a pause versus cancellation
  • Prevent subscribers from cancelling when they have clearly expressed intent to do so
  • Violate any applicable consumer protection laws or regulations
  • Circumvent Stripe's terms of service
  • Attempt to reverse-engineer, decompile, or extract source code from the Service
  • Use the Service for any illegal purpose
  • Resell or sublicense the Service without written permission

Subscriber rights: FreezeSub is designed to offer subscribers a genuine choice. Merchants must ensure that subscribers can still complete a cancellation if they choose not to accept the pause offer.

6. Stripe Integration

FreezeSub operates as an authorized Stripe App. You acknowledge that:

  • FreezeSub operates within permissions granted through Stripe's OAuth flow
  • Stripe's own Terms of Service apply to your underlying account
  • FreezeSub does not modify your billing configuration beyond pause/resume lifecycle management
  • You remain responsible for compliance with Stripe's policies

7. Intellectual Property

The FreezeSub name, logo, software, and all related content are our exclusive property. These Terms do not grant you any intellectual property rights in the Service beyond a limited, revocable license to use it as described herein.

You retain all rights to your merchant data and subscriber data. You grant us a limited license to process this data solely to provide the Service.

8. Disclaimers and Limitations

8.1 No Guarantee of Results

FreezeSub provides tools to reduce churn. We do not guarantee any specific conversion rate, revenue retained, or business outcome. Results vary based on your product, pricing, subscriber base, and market conditions.

8.2 Service Availability

We strive for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or factors outside our control.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FREEZESUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless FreezeSub from any claims, damages, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

10. Termination

Either party may terminate the agreement at any time. You may terminate by uninstalling FreezeSub from your Stripe account. We may terminate your access for material breach of these Terms, with or without notice.

Upon termination, your access to the Service will cease and we will retain data as described in our Privacy Policy.

11. Governing Law

These Terms are governed by applicable laws. Disputes shall be resolved through binding arbitration or in courts of competent jurisdiction. You waive any right to participate in class action lawsuits against FreezeSub.

12. Changes to Terms

We may update these Terms. We will notify you of material changes via email or the Stripe Dashboard with at least 14 days' notice. Continued use after the effective date constitutes acceptance of updated Terms.
